1. Acceptance of Terms

By accessing https://www.justmetrically.com, submitting an enquiry, or entering into a service engagement with Justmetrically, you agree to be bound by these Terms of Service ("Terms"). If you are acting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, please do not use our website or services. These Terms apply to all visitors, clients, and others who access or use our services.

2. Description of Services

Justmetrically provides custom web data extraction, AI-powered data pipeline engineering, and managed data product delivery services ("Services"). Specific service scope, deliverables, timelines, and pricing are defined in a written Statement of Work, project brief, or proposal agreed between the parties prior to project commencement.

Services include but are not limited to: Validation Sprints (one-time scoped extractions), Managed Pipelines (recurring scheduled delivery), and Custom Data Products (dashboards, APIs, warehouse integrations). The specific tier and scope are confirmed in writing before work begins.

We reserve the right to decline any project enquiry at our sole discretion, including where we determine a request to be technically infeasible, legally problematic, or outside our service offering.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate, complete, and timely information required to scope and deliver the project, including target sources, field requirements, delivery preferences, and business context.
• Ensure that your intended use of delivered data complies with all applicable laws and regulations in your jurisdiction.
• Notify us promptly of any changes to your requirements that may affect scope, delivery, or pricing.
• Make timely payment in accordance with agreed invoicing terms.
• Maintain the confidentiality of any access credentials, API keys, or dashboard accounts we provide.

4. Acceptable Use

You may not use our services for any purpose that is unlawful, harmful, or in violation of these Terms. Prohibited uses include:

• Collecting personal data in violation of applicable data protection laws
• Building surveillance systems or stalking tools
• Reselling or redistributing delivered data to third parties without our written consent
• Circumventing website access controls in a manner that violates applicable law or causes material harm to the source website
• Using delivered data to engage in harassment, fraud, or any unlawful activity

We assess the legality of each project as part of our standard scoping process. Clients are ultimately responsible for ensuring their use case and data usage comply with applicable laws.

5. Fees and Payment

Fees for our services are as described in the applicable proposal or Statement of Work. All fees are quoted in US Dollars unless otherwise agreed.

• Validation Sprints: Payment required in full before work commences.
• Managed Pipelines: Invoiced monthly in advance. Payment due within 14 days of invoice date.
• Custom Data Products: Payment schedule agreed in the applicable Statement of Work, typically a deposit on commencement and balance on delivery.

Scope changes requested after project commencement will be quoted separately and require written approval before additional work proceeds. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.

6. Intellectual Property

6.1 Delivered datasets

Upon receipt of full payment, you own the structured datasets, files, and reports we deliver to you as part of your engagement. Nothing in these Terms prevents you from using, analysing, or building products on top of the delivered data.

6.2 Our infrastructure and methods

All pipeline code, extraction infrastructure, normalization logic, tooling, and proprietary methods developed by Justmetrically remain our exclusive intellectual property. Delivery of data outputs does not transfer any rights to our underlying technology.

6.3 Third-party content

Source data extracted from public websites may be subject to third-party copyright or terms of service. Clients are responsible for assessing the permissibility of their intended use.

7. Confidentiality

We treat all client project details, requirements, and business context as confidential and will not disclose them to third parties without your consent, except as required by law or as necessary to deliver the services (e.g., sharing limited technical details with subprocessors under confidentiality obligations).

We routinely sign Non-Disclosure Agreements (NDAs) for sensitive engagements. Clients may submit their standard NDA or request ours. Mutual confidentiality is our default operating posture.

8. Data and Privacy

Our handling of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. For enterprise clients subject to GDPR, we will enter into a Data Processing Agreement (DPA) covering any personal data processed on your behalf.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Justmetrically's total liability to you for any claim arising out of or relating to these Terms or the services will not exceed the total fees paid by you in the three months preceding the claim.

In no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunity, or goodwill, even if we have been advised of the possibility of such damages.

10. Disclaimer of Warranties

Our services are provided on a professional best-efforts basis. While we design our pipelines for reliability and data quality, we do not warrant that:

• Delivery will be uninterrupted or error-free in all circumstances
• Source websites will remain accessible or structurally consistent over time
• Extracted data will be 100% complete where sources are incomplete

We monitor our pipelines proactively and will notify you promptly of material issues and expected resolution timelines.

11. Indemnification

You agree to indemnify, defend, and hold harmless Justmetrically and its team from any claims, liabilities, damages, or expenses (including reasonable legal fees) arising out of: (a) your use of delivered data in violation of applicable law; (b) your breach of these Terms; or (c) any misrepresentation made by you in connection with a service engagement.

12. Termination

Either party may terminate a Managed Pipeline subscription with 30 days' written notice. One-time engagements (Validation Sprints) are non-cancellable once work has commenced.

We may terminate or suspend services immediately, without notice, if you breach these Terms, engage in prohibited use, or fail to pay outstanding invoices after a 14-day cure period.

Upon termination, all delivered data you have received and paid for remains yours. Sections covering Intellectual Property, Confidentiality, Limitation of Liability, Indemnification, and Governing Law survive termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any dispute arising under or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If not resolved within 30 days, the parties agree to submit to binding arbitration or the jurisdiction of competent courts as mutually agreed in the applicable Statement of Work or engagement letter.

14. Changes to These Terms

We may update these Terms periodically. Material changes will be communicated by updating the "Last updated" date and, for active clients, by direct email notice. Continued use of our services after the effective date of updated Terms constitutes acceptance of the revised Terms.
